By accessing and/or using VillageHomePros.com ("Platform"), you agree to be bound by these Terms and Conditions. If you do not agree, do not use this Website/Platform.

VillageHomePros provides a marketplace connecting homeowners ("Customers") with independent service providers ("Contractors").

VillageHomePros.com is not a contractor, employer, or service provider. We:

• • Provide an introductory website/platform for Customers to request services from Contractors.
• • Sell and Distribute Project/Job leads to Contractors.
• • Offer advertising and listing services for customer search/contractor review and bid purposes.

We do not perform, guarantee, supervise or underwrite any project work whatsoever. All agreements and/or contracts are strictly initiated between Homeowners (Customers) and Service Providers (Contractors).

3.1 Eligibility

Contractors must:

• • Be at least 18 years old
• • Provide "accurate" and "current" business information within their directory listing, i.e., Logo, Contact information and company description.
• • Maintain all required Local, State and Federal licenses and insurance premiums.

3.2 Account Types

VillageHomePros may offer:

• • Free Homeowner Accounts with Search and Bid Request tools and features.
• • "Pay-Per-Listing" Standard Accounts for Service Providers.
• • "Pay-Per-Listing" Premium Accounts with Enhanced Communication Features for Service Providers.

All Features, Pricing and Plan options are subject to change at any time and without notice.

4.1 Lead Delivery

How Leads are Distributed and Sold:

• • Paid Premium (Pay per listing) Accounts receive immediate, "Instant Access" to all NEW leads for their selected Ad Categories (3 Categories Maximum) via SMS text message and/or email as they are published on this platform.
• • Free "Standard" (Pay per listing) Accounts receive new leads after a 4 hour delay, via Email only.

4.2 Our "Standard" and "Premium" Pay-Per-Lead Model

All lead purchase opportunities are considered final and non-refundable, except as outlined below.

4.3 Lead Quality Disclaimer

VillageHomePros does NOT Guarantee:

• • Customer responsiveness
• • Project Award or Acceptance
• • Project completion
• • Accuracy of project details

Credits or refunds may be issued at VillageHomePros' sole discretion if:

• • Lead information is clearly invalid (e.g., fake, evasive or grossly incorrect contact or project details)
• • Duplicate leads are received.
• • Lead is outside our regional service area.

No refunds for: non-responsive customers, price disagreements, or lost jobs.

Customers agree to:

• • Provide accurate, detailed project information.
• • Respond to Service Providers/Contractors promptly and in good faith.
• • Not misuse the Platform for spam, fraud or any reason whatsoever.

VillageHomePros is not responsible for Customer behavior.

Contractors agree to:

• • Provide current licensing documentation at customer request.
• • Perform services professionally and legally.
• • Honor quoted pricing and timelines.
• • Communicate promptly and honestly with customers.

Contractors are solely responsible for: work quality, work safety, employee behavior, permits and compliance, insurance and liability.

Users may submit reviews and content. By submitting content, you grant VillageHomePros a non-exclusive, royalty-free license to use, display, modify, and promote that content.

VillageHomePros may remove any and all content at its sole discretion.

Users may not:

• • Submit false or misleading information
• • Harass or abuse other users
• • Circumvent the Platform to avoid fees
• • Use automated or manual systems to scrape or exploit data

Violations may result in account suspension or complete termination. (No Refunds for account suspension or termination)

10.1 Pricing

VillageHomePros may charge:

• • Membership fees
• • Lead fees
• • Promotional or advertising fees

Fees/Prices may change at any time and without notice.

10.2 Billing

Contractors agree to:

• • Maintain valid payment methods
• • Pay all charges incurred promptly

Unpaid balances may result in account suspension.

VillageHomePros does NOT Guarantee:

• • Job awards
• • Revenue
• • Lead quality
• • Lead volume

Performance depends on economic market conditions, competition, contractor specialty, Contractor Professionalism and responsiveness.

To the fullest extent permitted by law, VillageHomePros shall not be liable for:

• • Indirect or consequential damages
• • Lost profits or business opportunities
• • Disputes between Customers and Contractors

Total liability shall not exceed the amount paid by the user in the previous month.

All Users agree to indemnify and hold harmless VillageHomePros.com from any claims arising from:

• • Any and All Services performed
• • Violations of these Terms
• • Misconduct or negligence

VillageHomePros may suspend or terminate accounts at any time for:

• • Violations of these Terms
• • Fraudulent or abusive behavior
• • Non-payment

Users may cancel their account at any time.

Any and all disputes shall be governed by the laws of the State of Florida. Users agree to attempt resolution through:

1. Informal negotiation
2. Mediation (if necessary)
3. Binding arbitration

VillageHomePros may update these Terms at any time. Continued use of this Platform constitutes acceptance of the revised Terms.

Contractors (Service Providers) are independent businesses and are not employees, partners, or agents of VillageHomePros.com.

VillageHomePros is an internet-based marketplace designed to connect homeowners with independent local service providers. While we strive to provide a reliable, secure, and continuously available service, we cannot guarantee that the website or its features will always operate without interruption or error.

Users acknowledge that access to VillageHomePros depends upon numerous factors outside our control, including but not limited to:

• • Internet service providers
• • Mobile and cellular networks
• • Computer hardware and software
• • Browser compatibility
• • Third-party hosting providers
• • Cloud infrastructure
• • Email delivery services
• • SMS messaging services
• • Payment processing services
• • Scheduled maintenance
• • Unexpected technical failures
• • Cybersecurity incidents

VillageHomePros does not warrant that the website will be available at all times, that communications will be delivered immediately, or that the service will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

Users are responsible for maintaining their own internet connection, devices, browser software, passwords, and security measures necessary to access the platform.

To the fullest extent permitted by law, VillageHomePros shall not be liable for any loss of business, lost profits, lost leads, missed job opportunities, delayed communications, data loss, service interruptions, or other damages resulting from internet outages, technology failures, third-party service disruptions, or circumstances beyond our reasonable control.

Lead Delivery Disclaimer

VillageHomePros makes reasonable efforts to deliver homeowner inquiries and lead notifications promptly. However, delivery times may vary due to internet connectivity, email filtering, SMS carrier delays, mobile network availability, user device settings, or other third-party technology services. VillageHomePros does not guarantee immediate delivery of any lead notification or job request. Service Providers are responsible for regularly monitoring their accounts and dashboard for new opportunities.

Technology Requirements

Service Providers are responsible for maintaining a working email address, telephone number, internet connection, and compatible device capable of accessing the VillageHomePros platform. Failure to receive notifications due to outdated contact information, spam filters, device settings, connectivity issues, or other user-controlled factors shall not create any liability on the part of VillageHomePros.

These Terms constitute the entire agreement between all users and VillageHomePros.com regarding this Platform.
